Meshesha is a free, invite-only software tool that relays trading signals to your own brokerage account according to rules you set. It is not investment advice and we are not your adviser or broker.

1. Who we are and what this agreement covers

These Terms of Service (the "Terms") are an agreement between you and Meshesha ("Meshesha", the "Operator", "we", "us"). They govern your use of the Meshesha web application, its APIs and webhooks, and every feature reachable from it (together, the "Service").

By creating an account, clicking "I agree", or using the Service you accept these Terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, do not use the Service. You must be at least 18 years old and legally able to enter contracts and to open a brokerage account in your jurisdiction.

The Service is currently offered free of charge and by invitation only. We may change, suspend, or discontinue any part of it at any time.

2. What the Service does — and does not do

Meshesha is signal-relay and execution software. It receives trading signals from sources you subscribe to (platform-listed sources and sources brought by you or shared with you by other members), converts them to a canonical format, and — only if you turn automatic execution on — transmits orders to a brokerage account that you own and control at a third-party broker (currently Alpaca Securities LLC, "the Broker"), sized and filtered by the risk settings you configure. It also monitors resulting positions and may transmit closing orders under rules you enable (stop-loss, profit-take, producer exit signals).

NOT INVESTMENT ADVICE. Meshesha does not provide investment, legal, tax, or financial advice, and does not recommend any security, strategy, or signal source. Signal sources are third parties (or other members) and are listed and scored for information only. Nothing in the Service — including grades, scores, leaderboards, "featured" flags, or any signal — is a recommendation, an offer, or a solicitation, and none of it takes your personal financial situation into account. You alone decide which sources to subscribe to, whether to enable automatic execution, and what limits to set.

Meshesha is not registered as an investment adviser, broker-dealer, commodity trading advisor, or in any other regulated capacity with the U.S. Securities and Exchange Commission, any state securities regulator, FINRA, the CFTC, or the NFA. We do not act as your fiduciary. We charge no fees and receive no compensation of any kind from you, from signal sources, or from the Broker for your use of the Service. If that ever changes we will update these Terms and comply with any registration that becomes required before doing so.

Meshesha never holds, receives, or transmits your money or securities. Your assets remain in your own brokerage account under your own customer agreement with the Broker. The Service cannot withdraw or transfer funds. Your relationship with the Broker (account opening, KYC, margin, options approval, fees, statements, complaints) is governed solely by your agreement with the Broker.

3. Your account

  • Membership is by invitation. Do not share your invite link, credentials, or account. You are responsible for all activity under your account, including activity by anyone you allow to use it.
  • Provide accurate information and keep it current. We may suspend or terminate accounts created with false information or in violation of these Terms.
  • You may enable two-factor authentication and passkeys; we strongly recommend it. Notify us immediately if you suspect unauthorized access.
  • Platform administrators can view your account and, for support and incident response, act within it ("impersonation"). Such access is logged.

4. Automated execution — your authorization

Automatic execution is OFF by default. If you turn it on, you direct and authorize Meshesha to transmit orders to your brokerage account, without confirming each order with you first, whenever a signal from a source you subscribe to passes the risk settings you have configured. You also authorize Meshesha to transmit closing orders under any auto-close rule you enable. You may switch automatic execution off, pause any source, or engage the kill switch at any time; orders already transmitted cannot be recalled by us.

You represent that you have the authority to grant trading access to the brokerage account you connect, that the API credentials you provide are limited to trading and account-read permissions, and that you have read the Broker's terms regarding third-party access. You are responsible for regenerating or revoking those credentials at the Broker if you wish to end our access; disconnecting inside Meshesha deletes our stored copy of the credentials.

Live (real-money) execution is available only when the Operator has enabled it platform-wide AND you have separately connected live credentials and authorized live trading in your settings. Until then every order transmitted by Meshesha goes to a paper (simulated) brokerage account. Even in paper mode, treat the Service as if it were live: it is the same software.

5. Signal sources you bring or share (Signal Provider Terms)

Members may create their own signal sources and share them with other members through sharing circles. If you do so you are a "Provider" for that source and you additionally agree, for each such source, that:

  • You own the signal content or have all rights and permissions needed to transmit it to us and to let the members you choose receive and act on it. You will not relay a paid, members-only, or otherwise restricted service to people who are not entitled to it.
  • You are responsible for the content of every signal your source emits — including signals generated by software or AI systems you operate — and for keeping your webhook secret confidential.
  • You will not trade ahead of, or against, members who receive your signals (front-running or scalping), and you will disclose to your circle members any material conflict of interest.
  • You will not make performance claims about your source outside the Service, and will present any track record you share as simulated where it is simulated.
  • Your signals are not investment advice to your circle members and you will not hold yourself out to them as their adviser through the Service. If you are, or should be, registered as an investment adviser or in any other capacity, you are solely responsible for that status.
  • You grant Meshesha a non-exclusive, royalty-free license to receive, store, process, display (to entitled members), score, and execute your signals for the purpose of operating the Service. If you opt a source into benchmark scoring, you also license us to display its aggregate simulated score to all members.
  • You can pause, retire, or stop sharing a source at any time; exit signals for positions already opened by your members will continue to be honored so those positions can be closed.

Members who receive a shared source acknowledge that the Operator does not vet, endorse, or verify member-provided sources or their owners, and that access can be revoked by the owner at any time.

6. Acceptable use

  • Do not use the Service for market manipulation, coordinated trading schemes, wash trading, or any activity that violates securities laws or the Broker's terms.
  • Do not attempt to access other members' data, probe or overload the Service, reverse-engineer it, or bypass rate limits, invite gates, or risk controls.
  • Do not feed the Service signals or content you are not entitled to redistribute.
  • Do not use the Service if you are located in a jurisdiction where doing so is unlawful. The Service is intended for U.S. residents; it is not offered to residents of the European Union or United Kingdom.

7. Assumption of risk

Trading securities and options involves substantial risk of loss and is not suitable for everyone. Automated execution adds risks of its own: software defects, delayed or duplicated orders, missed or late exits, connectivity and broker outages, market data errors, slippage on market orders, and signals that are wrong, stale, or malicious. Our Risk Disclosure describes these in more detail and is part of these Terms.

You accept full responsibility for every order transmitted from your account under your settings and for all resulting profits, losses, fees, and tax consequences. Past or simulated performance of any source is not a guarantee of future results.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SIGNALS WILL BE RECEIVED, PARSED, OR EXECUTED CORRECTLY OR AT ALL, THAT ORDERS WILL FILL AT ANY PRICE, THAT AUTO-CLOSE RULES WILL FIRE, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THE SERVICE IS UNDER ACTIVE DEVELOPMENT AND KNOWN LIMITATIONS ARE DOCUMENTED IN THE RISK DISCLOSURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS OWNERS, CONTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE, ANY SIGNAL, OR ANY ORDER, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

10. Indemnification

You will defend, indemnify, and hold harmless the Operator and its owners, contributors, and service providers from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, any signal source you provide or share, or your violation of any law or third-party right.

11. Intellectual property and feedback

The Service, its software, design, documentation, and the Meshesha name are owned by the Operator or its licensors. You receive a limited, revocable, non-transferable license to use the Service for your own personal, non-commercial trading. Signal content belongs to whoever produced it. Feedback you send us may be used without obligation.

12. Suspension and termination

You may stop using the Service at any time; disconnect your broker credentials and ask us to delete your account. We may suspend or terminate your access at any time, with or without notice, for any reason, including a breach of these Terms, suspected abuse, legal risk, or discontinuation of the Service. On termination, automatic execution stops; open positions in your brokerage account remain yours to manage directly at the Broker. Sections 7–10 and 13–14 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the state in which the Operator is organized or resides, without regard to conflict-of-law rules. You agree that any dispute will be brought in the state or federal courts located there and consent to their jurisdiction. To the extent permitted by law, each party waives trial by jury and agrees to bring claims only in an individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

14. Changes, notices, and miscellany

We may update these Terms. Material changes will be presented in the app for your acceptance before continued use; the version date at the top of this page tells you when the text last changed. Notices to you may be given in the app or to the email on your account. If any provision is unenforceable the remainder stays in effect. These Terms, the Privacy Policy, and the Risk Disclosure are the entire agreement between you and the Operator about the Service. Questions: contact your platform administrator (the person who invited you) through the app.
